Riverside Affiliate Program Terms & Conditions

Welcome to the Riverside Affiliate Program. These terms (“Affiliate Terms”) govern your participation in our affiliate program (the “Program”). These Affiliate Terms are a contract between you (the “Affiliate” or “you”) and RiversideFM, Inc. and its affiliates (“Riverside” or “we”). By signing up or participating in the Program, you agree to abide by these Affiliate Terms, Riverside’s Terms of Use (the “Terms”- https://riverside.com/terms-conditions), and you acknowledge that personal data relating to you will be processed in accordance with Riverside’s Privacy Policy (the “Privacy Policy” - https://riverside.com/privacy-policy).

We periodically update these terms. We might also choose to replace these terms in their entirety if, for example, the Affiliate Program changes, ends, or becomes part of an existing program, including our partner programs. If we update or replace the terms we or the third party affiliate platform we work with will let you know via electronic means. If you don’t agree to the update or replacement, you can choose to terminate your participation in the Affiliate Program as we describe below.

1. Program Overview

The Riverside Affiliate Program allows approved affiliates (“you” or “Affiliate”) to earn commissions by promoting Riverside via unique tracking links on your own websites or platforms, subject to the limitations below.

Riverside may change, modify, suspend or discontinue these Affiliate Terms, the Affiliate Program, any aspect or component of the Affiliate Program and/or any offer(s), or any Affiliate URL at any time and in its sole discretion.

2. Participating in the Affiliate Program

By applying to our Affiliate Program, you confirm that you are at least 18 years old and not a resident of any country currently sanctioned by the U.S. Office of Foreign Assets Control (OFAC). This list is subject to change.

To get started, you’ll click the affiliate application link and register through a third-party platform such as Impact or Rewardful. Once your application is submitted, Riverside may review it for brand and audience alignment and reserves the right to approve or reject it at our sole discretion.

If your application is approved, you’ll gain access to your affiliate dashboard on the third-party platform, where you’ll find your unique tracking link (“Unique URL”) along with additional program details. You may then promote Riverside using this link on your approved websites and social media profiles, all of which must be listed in your affiliate account.

Riverside may reassess your affiliate status at any time and reserves the right to terminate your participation immediately upon notice.

3. Prohibited Activities

We maintain high standards for our brand integrity. As a condition of your participation, you agree not to:

• Engage in media buying or use of TM Plus (trademark plus) keywords, such as bidding on “Riverside coupon” or “Riverside.fm discount”.

• Bid on direct match (DM) or TM+ keywords in search engine marketing (e.g., Google Ads).

• Use Riverside’s trademarks in domain names, subdomains, or social media handles.

• Create a website or social media account that in any way copies, resembles or has the look and feel of the Riverside website or social media accounts.

• Disparage, make false or misleading claims about, or otherwise harm the Riverside brand or reputation.

• Disclose confidential information, including but not limited to non-public product, pricing, or customer data.

• Mislead or deceive visitors, including using false representations to generate commissions.

• Publish links or promotional content on any site that (i) infringes on third party rights, including intellectual property, publicity or privacy rights, (ii) is threatening, harassing, defamatory, obscene, harmful, or otherwise illegal, or that contains pornographic material, or that appeal to minors; (iii) contains viruses, Trojan horses, worms, time bombs, cancelbots, or other computer programming routines that are intended to damage, interfere with, surreptitiously intercept or expropriate any system, data, or personal information; (iv) otherwise harms the Riverside brand or reputation; or (v) contains software or uses technology that attempts to intercept, divert or redirect Internet traffic to or from any other website, or that potentially enables the diversion of Affiliate payments from another website, including toolbars, browser plug-ins, extensions, and add-ons.

• Refer yourself as a new customer, including by using your own Unique URL to purchase a Riverside subscription or by creating additional accounts for personal use. Any such transactions will not qualify as Qualified Purchases, and Riverside reserves the right to withhold or reverse commissions associated with self-referrals.

• Use any automated software or other technology in an attempt to manipulate or create fake Qualified Purchases (defined below).

• Otherwise engage in behavior that is fraudulent, abusive or harmful to the Affiliate Program, other Affiliates, Riverside customers or Riverside.

4. Requirements

You must clearly disclose in all marketing and advertising efforts - including social media posts - that you are a Riverside Affiliate and receive compensation for sales of Riverside’s products. This disclosure must include the word “ad” or “advertisement” and comply with all applicable disclosure requirements, including those under local laws and the laws of the country you reside in.

You agree to comply with all relevant laws, regulations, and platform-specific policies, including but not limited to those governing privacy, marketing, advertising, and endorsements. This includes adhering to the Federal Trade Commission (FTC) Endorsement Guides, which require that material connections between advertisers and endorsers be disclosed, as well as all requirements issued by us. All Affiliate sites and any email or collateral that endorse or assess the Riverside products must disclose the fact that you receive compensation for Qualified Purchases.

You represent and warrant that you will comply at all times with all applicable U.S. and international laws, rules, and regulations in connection with your participation in the Affiliate Program and your promotional activities. This includes, without limitation, laws governing online marketing, email communications, consumer protection, and data privacy—such as the CAN-SPAM Act, the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule, the Federal Trade Commission Act, the e-Privacy Directive (and any successor legislation, including the e-Privacy Regulation), the California Consumer Privacy Act (CCPA), the General Data Protection Regulation (GDPR), and all other applicable anti-spam and privacy laws.

5. Commissions

You will earn a commission for each Qualified Purchase made by a New Riverside Customer via your Unique URL.

A “New Riverside Customer” is a new customer that is not currently an active paying customer.

A “Qualified Purchase” means that a New Riverside Customer clicked on your Unique URL and successfully purchased a subscription from riverside.com within the tracking window specified by the applicable affiliate platform. Self-referrals are not considered Qualified Purchases, and no commission will be paid for them.

Any applicable billing fees, payment processor charges (e.g., Stripe, PayPal) or bank transfer fees will be deducted from the commission prior to pay out. Specific commission rates, payout thresholds, and payout terms will be detailed in your affiliate dashboard or in a separate agreement.

Commission fees shall be paid based on the current information in your Affiliate profile. It is your responsibility to notify us promptly of any change in your address by updating Your profile information.

Riverside reserves the right to deny, reverse or withhold payment in the case of:

• Fraudulent, abusive, or suspicious behavior, as determined at Riverside’s sole discretion.

• Violation of these Affiliate Terms, Terms, and/or Privacy Policy.

• Improper or misleading attribution of conversions.

If any such breach occurs, you forfeit all unpaid and pending commissions, regardless of source.

6. Termination

You may terminate your participation in the Affiliate Program at any time by written notice.

Riverside reserves the right to terminate your participation in the Affiliate Program at any time, for any reason or no reason, with or without notice.

Upon termination, you must immediately cease all use of the unique URL, our trademarks, branding, and links.

Commissions earned on valid Qualified Purchases made before termination will be paid in accordance with the regular payout schedule, unless they are subject to fraud, policy violations, or other breaches of these Affiliate Terms or Terms.

7. Ownership

You may only use Riverside’s trademarks, trade name, logo, and marketing materials provided to you as expressly permitted by Riverside. All rights to Riverside trademarks, branding, products, and services remain exclusively with Riverside. This includes all rights protected under trademark, copyright, patent, and trade secret laws. Participation in the Affiliate Program does not grant any ownership or right to license, modify, or reproduce our trademarks, trade name, logo or marketing materials beyond what is explicitly permitted in your affiliate dashboard or guidance documents.

You acknowledge that all customer-related data generated through referrals, including information about referred users, is confidential and under the control of Riverside. You may not access, use, store, or share such data except as expressly permitted by Riverside and in accordance with applicable data privacy laws.

8. Confidentiality

From time to time, Riverside may share confidential or sensitive information with Affiliates, including but not limited to details about Riverside’s eligible products, unreleased features, upcoming campaigns, or promotional offers. The Affiliate agrees to maintain the confidentiality of such information and not to disclose it publicly until it has been officially released by Riverside.

The Affiliate may only use this confidential information to fulfill their responsibilities under the Affiliate Program and may not use it for personal benefit or in any way that conflicts with Riverside’s interests. Additionally, any information regarding referred users or associated customer data is considered Riverside’s confidential information and must be handled accordingly.

9. Indemnification

You will indemnify, defend and hold us harmless, at your expense, against any third-party claim, suit, action, or proceeding (each, a “Claim”) brought against us (and our officers, directors, employees, agents, service providers, licensors, and affiliates) by a third party to the extent that such Claim is based upon or arises out of: (a) your participation in the Affiliate Program, or (b) your noncompliance with or breach of these Affiliate Terms.Disclaimer of Warranties & Limitation of Liability

Riverside and its affiliates make no express or implied representation or warranties regarding the suitability, reliability, availability, security, or accuracy of the Riverside products, content, or Affiliate Program, or the third-party platforms we work with such as Impact or Rewardful. These may not be available at all times, including APIs and related features. To the fullest extent permitted by law, all such offerings are provided “as is,” without warranties of any kind, express or implied, including those of merchantability, fitness for a particular purpose, title, non-infringement, or minimum commissions. We make no guarantee to provide or maintain access to the Affiliate Program and disclaim all liability arising from its use. Affiliate acknowledges that it has not relied on any representation or warranty made by Riverside, or any other person on Riverside’s behalf.

To the extent allowed by law, Riverside will not be liable for indirect, punitive, or consequential damages, including lost profits or business opportunities, regardless of whether the damages were foreseeable, or whether Riverside was advised of their possibility. If Riverside is found liable despite the terms of these Affiliate Terms, our total aggregate liability will be limited to the total commissions you earned from Qualified Purchases in the twelve months preceding the event giving rise to the claim. The failure of any remedy to meet its essential purpose shall not affect this limitation.

11. Miscellaneous

11.1 Relationship of the Parties. The Parties are independent contractors and have no power or authority to assume or create any obligation or responsibility on behalf of the other. This Agreement will not be construed to create or imply any partnership, agency, or joint venture.

11.2 Expenses. Except as otherwise specified herein or as otherwise mutually agreed upon by the Parties, each Party will bear its own costs of performing under these Affiliate Terms(including with respect to any marketing activities).

11.3 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of New York, U.S.A., except for its conflicts of laws principles. The Parties consent to the exclusive jurisdiction of, and venue in, the federal courts in New York, New York. THE PARTIES IRREVOCABLY WAIVE ANY AND ALL RIGHTS EITHER PARTY MAY HAVE TO A TRIAL BY JURY IN ANY JUDICIAL PROCEEDING INVOLVING ANY CLAIM RELATING TO OR ARISING UNDER THIS AGREEMENT.

11.4 Public Announcements. All media releases, public announcements or public disclosures (including promotional or marketing material) by either Party relating to these Affiliate Terms are prohibited without the prior written consent of both Parties.
